Nexify Digital – Website Maintenance Terms of Service

Maintenance Fee: £30/month (billed via Stripe)

By subscribing to Nexify Digital’s Website Maintenance Plan (“Plan”), you (“Client”) agree to the following Terms of Service (“Agreement”). This Agreement is between you and Nexify Digital (“we”, “our”, or “us”).

1. Scope of Maintenance

The maintenance plan includes ongoing support and upkeep of the original website delivered by Nexify Digital. The following services are included:

- Core software updates (CMS, plugins, themes)
- Security patches and vulnerability monitoring
- Monthly site backups
- Basic uptime monitoring
- Minor bug fixes and performance optimizations
- One minor content update per month (e.g., text or image change)

This plan is intended to maintain the site in its original form - not expand or redesign it.

2. Out-of-Scope Work

The following are not included in this plan:

- New features, page additions, or design changes
- Redesigns, rebranding, or marketing campaigns
- SEO or analytics services
- Custom plugin development or integrations
- Strategy consulting or new platform builds

We may choose to accommodate simple feature requests or additions at our sole discretion, and may issue a separate quote if the work exceeds basic maintenance.

3. Fair Use Policy

This plan includes up to one minor change per calendar month (e.g., changing a line of text or swapping an image). Requests beyond this limit, or larger in scope, may be billed separately.

We reserve the right to limit or decline excessive requests or those outside reasonable expectations of a maintenance agreement.

4. Third-Party Access & Site Modifications

To ensure the stability and security of your website, the following terms apply:

- Clients must not install new plugins, modify theme files, or make major changes to the website’s core configuration without written approval.
- We are not responsible for issues caused by third-party developers, additional agencies, or unauthorized modifications.
- If third-party changes interfere with site performance or security, additional charges may apply to investigate or resolve the issue.

We reserve the right to pause or cancel maintenance services if ongoing interference is detected.

5. Payment & Billing

- The maintenance fee is £30/month, billed via Stripe.
- Services begin only once payment has been received.
- Failed or late payments may result in suspended service without notice.
- No partial refunds are provided for unused time or cancellations mid-month.

Invoices or subscription confirmations will be sent via email or your client dashboard.

6. Cancellations

- You may cancel the plan at any time, effective at the end of the current billing cycle.
- No pro-rated refunds will be issued.
- We reserve the right to cancel the plan at any time for non-payment, breach of terms, or abusive conduct.

Upon cancellation, responsibility for all site maintenance immediately transfers back to the client.

7. Client Responsibilities

- You agree to provide timely access, login credentials, and necessary information upon request.
- You are responsible for maintaining your hosting account, domain registration, and any third-party services unless otherwise agreed upon in writing.

If your changes, software installations, or hosting issues cause errors, resolution may require a separate paid engagement.

8. Limitation of Liability

While we make every effort to keep your site running smoothly and securely, we do not guarantee uninterrupted operation.

We are not liable for:
- Downtime caused by hosting providers, DNS failures, or domain lapses
- Conflicts caused by third-party plugins or software
- Loss of data from third-party systems or hosting
- Loss of revenue, business, or opportunities due to website issues

Our total liability under this agreement is strictly limited to the fees paid by you in the preceding 30 days.

9. Modifications to Terms

We may update or revise these terms at any time. Continued use of the maintenance plan constitutes acceptance of the most current version of the Terms of Service.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of UK courts.
